1. Acceptance of Terms

By accessing, installing, or using any BitPro software product or service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not install or use the software.

2. Software License

Subject to your compliance with these Terms and payment of applicable fees, BitPro grants you a non-exclusive, non-transferable, revocable license to install and use the BitPro software on the number of terminals (point of sale stations) specified in your license agreement.

• Per-Terminal Licensing: Each license key authorizes the software to be installed and operated on a single POS terminal or workstation. Additional terminals require additional license keys.
• Desktop Installation: The software is designed to be installed locally on Windows-based computers and is not provided as a cloud-hosted service.
• License Scope: Your license includes all integrated modules (POS, inventory, accounting, HR, CRM, reports, and multi-branch management) as part of the standard package.

3. Permitted Use

You are permitted to:

• Install and use the software on the licensed number of terminals for your business operations
• Make one backup copy of the software for archival purposes
• Use the software's built-in features to manage your business data
• Request and receive technical support as provided under your service agreement

4. Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software
• Copy, redistribute, sublicense, lease, rent, or lend the software to any third party
• Modify, adapt, translate, or create derivative works based on the software
• Remove, alter, or obscure any proprietary notices, labels, or marks on the software
• Use the software on more terminals than covered by your license agreement
• Use the software for any unlawful purpose or in violation of any applicable regulations

5. Intellectual Property

The software, including all code, designs, interfaces, documentation, and related materials, is the exclusive property of BitPro Global Software Co. and is protected by copyright, trademark, and other intellectual property laws.

Your license to use the software does not transfer any ownership rights. All rights not expressly granted in these Terms are reserved by BitPro.

6. Support & Maintenance

BitPro provides technical support and software maintenance as follows:

• 24/7 technical support via phone, email, and remote assistance
• Software updates and patches during the active maintenance period
• On-site support available upon request (may incur additional charges)
• Staff training during initial implementation

Support terms and service level agreements may vary based on your specific license and service agreement.

7. Payment Terms

License fees are due as specified in your purchase agreement or invoice. All fees are quoted in the currency specified in your agreement.

• Payment must be received before license activation unless otherwise agreed in writing
• Annual maintenance and support fees (if applicable) are billed annually and due upon invoice
• All prices are subject to applicable taxes as required by law
• Late payments may result in suspension of support services until the account is brought current

9. Limitation of Liability

To the maximum extent permitted by applicable law, BitPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the software.

Our total liability for any claim arising from these Terms or your use of the software shall not exceed the amount you paid for the software license in the twelve (12) months preceding the claim.

10. Termination

These Terms remain in effect until terminated. We may terminate or suspend your license if you breach any provision of these Terms. You may terminate by ceasing all use of the software and destroying all copies.

Upon termination, you must immediately cease using the software and delete all installed copies. Sections relating to intellectual property, warranty disclaimers, limitation of liability, and governing law shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or your use of the software shall be subject to the exclusive jurisdiction of the courts in Jeddah, Saudi Arabia.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the software after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.
